Terms of Service
The agreement between TagsForHope® Inc. and every business and non-profit in the TagsforHope® Partners wholesale program.
- You get wholesale pricing to sell TagsforHope® products at your store (your own website is welcome alongside it) or through your non-profit's own fundraising, never on online marketplaces like Amazon, eBay, or Etsy.
- Wholesale pricing and program details are confidential, and you won't advertise our products at more than 30% below suggested retail.
- If an eligible design hasn't sold within 90 days of delivery, you can exchange it for credit, and damaged goods are credited quickly. The conditions live in section 7.
- Orders are prepaid unless we've approved your account for net terms.
- You can close your account anytime; if we end the relationship without cause, we give at least 30 days' notice. Ontario law governs.
This summary is a courtesy, not the contract. The numbered sections below govern.
1. Who we are and what these Terms cover
TagsForHope® Inc. ("TagsforHope", "we", "us") is an Ontario, Canada company located at 55 Dennis Rd. Unit 4, St. Thomas, Ontario, Canada N5P 0B6. These Terms of Service (the "Terms") govern the TagsforHope® Partners program (the "Program") and the partner portal at partners.tagsforhope.com (the "Portal"), including applying to the Program, holding a partner account, and purchasing products at wholesale pricing (the "Products").
By applying to the Program, signing in to the Portal, or placing an order, you agree to these Terms on behalf of the business or organization you represent ("you", "your organization", a "Partner"). You confirm that you are at least 18 years old and have authority to bind your organization. If you don't agree, don't apply, sign in, or order.
The Program is business-to-business. Products purchased through the Portal are for resale or organizational use as described in these Terms, not for personal consumer purchase. Consumers should shop at tagsforhope.com, which has its own terms of service. These Terms replace any earlier retail-partner or trade terms previously posted on this site.
2. Becoming a partner
Admission to the Program is by application and is at our discretion. The Program serves two tracks: retail businesses (pet stores, groomers, veterinary clinics, and similar pet businesses) and animal non-profits (rescues, shelters, foster networks, and similar organizations; see section 10).
You agree that everything you tell us in your application and afterwards (including your organization's name, locations, contact details, and the acknowledgments you accept during the application) is truthful, complete, and kept current. The acknowledgments you accept when applying (including the resale acknowledgment) form part of your agreement with us. We may verify any of it, ask for supporting information, and decline or revoke approval if information proves inaccurate.
When we approve your application, we may set account-specific terms (such as payment terms or program eligibility) communicated by email or in the Portal and expressly designated in writing as your "Program Details". If your Program Details differ from the general statements in these Terms, your Program Details govern for your account. Ordinary correspondence with us is not Program Details unless we say so. Approval to the Program does not confer payment terms. Unless your Program Details expressly grant them, payment is due at checkout as set out in section 5.
One partner account serves one organization. Your account may include multiple authorized users from your organization; you are responsible for keeping that list limited to people authorized to act for you.
3. Your account and sign-in
The Portal uses passwordless sign-in: we email one-time links and codes to the addresses on your account. That means whoever controls those mailboxes controls your account. Keep them secure, and tell us immediately at [email protected] if an address is compromised or a person should lose access (for example, when an employee leaves).
You are responsible for all activity under your account by your authorized users. We may suspend access where we reasonably suspect unauthorized use, and we may decline to act on instructions we cannot verify.
4. Wholesale pricing and confidentiality
Wholesale pricing becomes visible when your application is approved. Wholesale prices, margins, Program Details, unreleased products, and non-public Portal content (including sales and sell-through data we share with you) are confidential. Use them only to run your relationship with us, share them within your organization only with people who need them, and don't disclose them to anyone else, including competitors, suppliers, or pricing databases.
Information that is public through no fault of yours, or that you're required to disclose by law (tell us first if lawful to do so), is not confidential. The same goes both ways: non-public information you share with us about your business is confidential too. We use it only to serve your account and to build aggregated, non-identifying program insights. This section survives the end of the relationship.
5. Orders, payment, and taxes
All orders are subject to our acceptance and to product availability. Prices are shown in your account's currency, set from your organization's billing country, and the price in effect when you place an order applies to that order. If a price or listing contains an obvious error, we may correct it; if the correction affects an order you've placed, we'll tell you and you may cancel that order for a full refund of any amount paid.
Payment is due in full at checkout by the method you select, unless your Program Details expressly grant your account payment terms. Net payment terms are granted in writing at our sole discretion. Unless your Program Details say otherwise, invoices on granted terms are due within 30 days of the invoice date. Terms are specific to your account and may be reduced or withdrawn on written notice.
If an invoice is overdue, we may hold shipments, suspend payment terms, or suspend the account until the balance is settled. Overdue amounts may bear interest at 1% per month, compounded monthly (12.68% per year), and you are responsible for our reasonable costs of collecting seriously overdue amounts. Card and similar payments are processed by our payment providers; we never see or store full card numbers.
You may cancel or change an order at any time before it ships by emailing us. If items are backordered, we'll tell you, and you can choose to wait, split the shipment, or cancel the backordered items. If we split a shipment for our own reasons, you pay freight only once, on the original order total.
Canadian Partners are charged applicable GST/HST/PST. Partners outside Canada are responsible for any import duties, brokerage, and taxes their own jurisdiction applies to their purchases. If we are ever required to collect sales or similar tax in your jurisdiction, we'll add it to your invoice unless you provide a valid resale or exemption certificate, which you agree to provide on request and keep current.
6. Shipping, title, and risk
We ship from Ontario, Canada. Freight is charged as shown in the Portal at checkout (currently a flat fee per order, waived above the free-freight threshold shown in the Portal, each in your account currency). Ship dates and any requested ship date are good-faith estimates, not guarantees; we'll tell you if something material delays your order.
Title to Products passes to you on delivery. We bear the risk of loss or damage in transit. If an order arrives damaged or short, section 7 is your remedy and we make it easy. Please inspect orders on arrival.
7. Partner protections: exchanges and damage credits
We'd rather carry the risk of a slow seller than have you stuck with it. These programs are real commitments, with the conditions below, so they stay fair to every Partner.
7.1 90-day low-seller exchange
- What it covers: items from your opening order (the first order you place after approval), and any other items we mark as exchange-eligible in the Portal or your Program Details.
- The window: the 90 days run from delivery of the eligible order. If a design hasn't moved by then, you have until 120 days from delivery to request the exchange: the full selling window, plus a month to act.
- Condition: items must be unsold, unused, and in new, resalable condition with their original packaging and tags.
- What you get: account credit equal to the wholesale price you paid, applied toward future orders. Exchange credit is not a cash refund and isn't transferable. Credits are valid for 12 months from issue.
- Logistics: we'll tell you whether to return the items. When we ask for them back, we cover or credit standard ground return shipping.
7.2 Damage credits
- Inspect orders when they arrive. Report damaged, defective, or missing items within 14 days of delivery to [email protected] with photos of the affected items and packaging.
- Once verified (usually from your photos alone), we issue a credit or replacement, typically within one business day. Don't ship damaged goods back unless we ask.
- If a Product turns out to have a manufacturing defect you couldn't reasonably have spotted on arrival (say, a batch issue that only shows up in use), report it within 30 days of discovering it and within 12 months of delivery, and we'll credit or replace it the same way.
- If an order (or part of one) is lost in transit and never delivered, tell us and we'll reship or credit it in full. No photos needed, and the 14-day clock doesn't apply.
7.3 Conditions that apply to both
- Your account must be in good standing (no seriously overdue invoices and no uncured breach of these Terms) when you make the request.
- These programs exist to protect honest retail risk. Abusing them (inflated claims, staged damage, exchanging goods sold elsewhere) ends the account and the programs' benefits.
- We may improve or adjust these programs from time to time. Changes apply prospectively to orders placed after we notify you, never retroactively to stock you already bought.
7.4 Safety and recalls
- If we notify you of a safety issue, stop-sale, or recall affecting a Product, stop selling the affected items immediately and follow our reasonable instructions, including returning or destroying stock and passing our notice along to your customers where feasible.
- We'll credit or replace affected inventory and cover your reasonable out-of-pocket costs of complying. These protections apply regardless of account standing.
8. Advertised pricing (MAP)
To protect the investment Partners make in presenting the brand well (and to keep discount-driven free-riding from undercutting the retailers who do that work), the Program has a minimum advertised price ("MAP") policy:
- The floor: don't advertise or publicly display a price for any TagsforHope® Product lower than 30% below its current suggested retail price (MSRP) for your market, as shown in the Portal. Example: a Product with a $28 MSRP may be advertised at $19.60 or above, never lower.
- Where it applies: anything public: your website, social media, email blasts, print ads, flyers, and exterior or promotional signage aimed at the general public.
- Where it doesn't: the price you actually charge is entirely your decision. In-store shelf labels and price tags simply state your in-store price, and the price charged at your own website's checkout is yours too: discount codes, cart-level discounts, and prices shown only in the cart or after sign-in may go below the floor. This policy is about publicly advertised and displayed prices only.
- Exceptions: clearance of items we've discontinued is automatically exempt once we mark them discontinued in the Portal. Short storewide sale events that dip below the floor are fine with our prior written OK. Just ask.
- Enforcement: first violation, we'll tell you and give you 5 business days to fix it. Repeated or deliberate violations are grounds to suspend or end the account (section 13).
The floor binds us too: we hold our own store's everyday advertised prices to it, and short promotional events on our consumer store are the same exception that's available to you. MSRP updates flow through the Portal. We'll give at least 14 days' notice there before a change raises the floor. Advertising already printed, mailed, or scheduled before a change isn't a violation for its remaining run; just bring new advertising in line within 30 days.
9. Where you may sell
The Program exists for real-world pet businesses and organizations. You may sell Products:
- at your organization's physical location(s) approved with your account;
- on your organization's own website (for retail partners this is an addition to, never a replacement for, actively selling at your physical location(s)), subject to the MAP policy in section 8; and
- for non-profits, through your own fundraising activities as described in section 10.
You may not sell Products:
- on third-party online marketplaces, including Amazon, eBay, Etsy, Walmart Marketplace, Facebook Marketplace, and similar platforms;
- to other resellers, distributors, or exporters, or in bulk for resale outside your approved channels, without our prior written consent.
If the resale acknowledgment you accepted when applying was worded differently than this section, this section governs: for retail partners, your organization's own website is an approved channel alongside your physical location(s), not instead of them. Selling outside approved channels is grounds for immediate termination.
10. Non-profit accounts
Animal non-profits (registered charities, non-profit corporations, and unregistered community rescue groups) are welcome in the Program. For non-profit accounts:
- We may ask for evidence of your status (such as a charity or corporate registration number) to mark your account as a verified non-profit. Some Program features may require verified status.
- Products are for your organization's own fundraising sales, adoption kits and packages, supporter and volunteer gifts, and internal use, under the same marketplace restrictions in section 9.
- Misrepresenting non-profit status is grounds for immediate termination.
- Additional non-profit programs we may offer over time (such as grants, fundraising or affiliate tools, and custom products) may carry their own terms, presented when you enroll in them.
10.1 Your fundraising link
Your fundraising link is for your own supporters. Please share it through your own channels and communities: your website, your social media pages and posts, groups and community pages, your newsletters and emails to people who know you, adoption paperwork and events. Please keep it off TagsforHope's own ads, posts, pages, comments and messages, off coupon or deal sites, out of mass messages to people who don't know you, and out of paid ads that use the TagsforHope name, like a Google ad for "TagsforHope". Present it as your fundraiser, not as a TagsforHope offer.
If the link is shared in a way this section does not allow, we will let you know and ask you to take it down. Repeated or deliberate misuse may lead us to pause the link or end fundraising for the account (section 13).
Your share is earned only on sales that come through the link as this section allows. We are not obligated to pay a share on sales that came from misuse of the link, and we may hold a payout while we look into it. A share already paid on such sales may come off a later payout. If we withhold or take back a share, we will tell you which sales it covers and show you the evidence.
11. Our brand and intellectual property
Everything we make remains ours: product designs and artwork, the TagsforHope® name and logos, product photography, Portal content, and the Portal software. Nothing in these Terms transfers any intellectual property to you.
While you're an active Partner, we grant you a limited, non-exclusive, revocable license to use the product images, logos, and marketing materials we provide, solely to promote and sell Products through your approved channels. Use them as provided (reasonable resizing and cropping is fine), describe your relationship with us accurately ("authorized TagsforHope® partner" or "stockist"), and don't suggest any broader affiliation, register any confusingly similar name, mark, domain, or social handle, or use our materials to promote other products.
If you share photos of our Products in your store or materials with us for promotion, you grant us a non-exclusive license to use them to promote the Program; we'll ask before featuring your organization by name. When the relationship ends, stop using our materials and branding within 30 days (selling through remaining inventory you bought in good standing is fine).
12. Portal data and acceptable use
The Portal shows planning data: sell-through shares, best-seller rankings, and similar insights drawn from our real sales history. It's provided in good faith to help you buy well, but it is informational only: markets differ, and we don't guarantee any particular sell-through or business result in your store.
Don't misuse the Portal: no scraping or automated harvesting, no sharing access outside your organization, no probing or disrupting security, no using Portal content or data to build or inform a competing product or program. We may monitor use of the Portal for security and operations.
13. Suspension and ending the relationship
You may close your account at any time by emailing [email protected]. We may suspend or end your account for convenience on at least 30 days' written notice, and immediately, without a cure period, for serious cause: invoices that remain seriously overdue after notice, breach of the confidentiality or channel rules, repeated or uncured breach of the MAP policy (a first advertising violation gets the cure period in section 8), misrepresentation, abuse of the protection programs, misuse of the fundraising link (section 10), or unlawful activity.
When the relationship ends: amounts you owe become immediately due and continue to bear interest and collection costs under section 5 until paid; orders not yet shipped may be cancelled (we refund anything prepaid for cancelled unshipped orders); and unused account credits are first applied against anything you owe. If we ended the relationship without cause, we pay out any remaining exchange-credit balance within 30 days; otherwise you may use the remainder on a final order placed within 90 days of termination, after which it expires unless applicable law says otherwise. Sections 4, 11, and 14 through 18 survive, and sections 8 and 9 also survive for as long as you are selling remaining inventory under section 11.
14. Disclaimers
We stand behind our Products through the specific commitments in section 7. Beyond those, to the maximum extent permitted by law, the Portal and the Program are provided "as is" and "as available" (we don't promise the Portal will be uninterrupted or error-free), and we disclaim all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, any condition or warranty implied by the Sale of Goods Act (Ontario) or similar legislation, and (for the Portal) non-infringement.
Products are pet accessories. Pass along to your customers any care, sizing, and use guidance we provide, and don't make product claims beyond our published materials.
End customers who buy Products from an authorized Partner receive the same product guarantees we publish at tagsforhope.com, administered by us. Send warranty claims our way rather than handling them yourself.
15. Limits on liability
To the maximum extent permitted by law: (a) neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill; and (b) our total aggregate liability arising out of or relating to the Program, the Portal, or the Products is capped at the total amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or anything else that cannot be limited by law.
16. Indemnity
You will defend, indemnify, and hold us harmless from third-party claims, and the reasonable costs of dealing with them, to the extent they arise from: the operation of your business or premises; marketing or product claims you make beyond the materials we provide; your modification or misuse of Products; or your breach of sections 8, 9, or 11.
It runs the other way too: we will defend, indemnify, and hold you harmless from third-party claims to the extent they arise from a manufacturing defect in an unmodified Product as we delivered it, or from a claim that such a Product (or marketing materials we provided) infringes third-party intellectual-property rights, provided you notify us promptly and let us control the defense.
17. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If a dispute comes up, we both agree to try first: raise it with the other side in writing and give good-faith discussion 30 days before starting any proceeding. Any proceeding that does follow will be brought exclusively in the courts sitting in London, Ontario, Canada, and both parties consent to that jurisdiction and venue. Either party may nonetheless seek urgent injunctive relief in any competent court to protect intellectual property or confidential information, or file a proceeding when reasonably necessary to preserve a claim under a limitation period.
18. General terms
- Independent businesses. We are independent contracting parties. Nothing in these Terms or the Program creates a franchise, partnership, joint venture, agency, or employment relationship, and no exclusivity or protected territory is granted unless your Program Details say so in writing. There is no fee to join or remain in the Program: the only payments you make to us are for Products at bona fide wholesale prices and their shipping.
- Changes to these Terms. We may update these Terms by posting the new version here. Changes apply prospectively; continuing to order after we post means you accept them. We notify active Partners by email or in the Portal of any change that materially affects their rights or obligations, with at least 30 days' notice. Non-material changes, including clarifications and corrections, take effect on posting.
- Force majeure. Neither party is responsible for delay or failure caused by events beyond its reasonable control. This does not excuse paying for Products already delivered.
- Assignment. You need our written consent to assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Notices. We send notices to your account email; you send notices to [email protected]. Email notice counts as written notice.
- Entire agreement. These Terms, your application and its acknowledgments, and your Program Details are the entire agreement between us about the Program, and supersede prior discussions. Our Privacy Policy and the other policies on this site describe how we operate, but they are not part of this contract.
- Severability and waiver. If part of these Terms is unenforceable, the rest stands. Not enforcing a term today doesn't waive it tomorrow.
- Language. A French version of these Terms, identical in content, is available at partners.tagsforhope.com/terms/?lang=fr, and for Quebec partners it is presented before acceptance, as the Charter of the French language requires. A Partner who accepts or uses the Program in English after having been able to review the French version expresses their express wish to be bound by this English version. Une version française des présentes conditions, au contenu identique, est offerte au lien ci-dessus; le Partenaire qui accepte ou utilise le Programme en anglais après avoir pu prendre connaissance de la version française exprime sa volonté expresse d'être lié par la version anglaise.
